Need help on Windows 7!

I am building a new rig and I have a few questions about the operating system I am buying? So on newegg, there is windows 7 home premium, http://www.newegg.com/Product/Produc...82E16832116986

Then there is windows 7 home premium http://www.newegg.com/Product/Produc...82E16832116716

I don't really know the difference, I was thinking that the cheaper one was just for upgrading previous systems to windows 7, and the more expensive one was for a clean and fresh install of it. I am right, or is there another difference?
