Limited upgrade options slightly faster cpu or video card

Hi smart people -

I'm looking to max out my current system for use with Sony Vegas. I realize my computer is on the low end of the spectrum, a bargain parts comp I threw together a few months ago... the current setup is:

intel pentium d 930 @ 3.0 ghz
fujitsu 2178 a12 motherboard with 955x chipset
8 gb PC2-6400 DDR2 Ram
1 TB 7200rpm HD
750 GB 7200rpm HD
Nvidia Geforce 8400gs 512mb graphics card.
windows 7 x64

unfortunately the CPU cant be overclocked because of my lame motherboard, but I can upgrade to the Pentium d 950 CPU on the cheap or would I see more performance boost as related to video editing by going with the better graphics card? In this case the NVIDIA GeForce GTX 460 1GB card. Or maybe something else I could tweak to eek out a little more smoothness in Vegas?

I realize improvements may only be very small. is it even worth it to put a hundred more dollars into this computer? cpu or video card?

But I think it would bottleneck . I recommend you upgrade the Motherboard+CPU+RAM, then GPU.
