New build won't POST with memory

I am putting together my first new build in years, and I'm running into a problem that I've never seen before. I couldn't get the system to POST with the CPU, Memory, and video card in, so I popped out the memory and it starts with 3 beeps (missing memory). Yet when I plug in the memory, no sound even though everything else seems to start up fine. I'm at a loss as to why this is happening, as I've tried all 4 memory sticks in various slots on the board. Any help would be great.

MB: ASRock 970 EXTREME3 AM3+ AMD 970 SATA 6Gb/s USB 3.0 ATX AMD Motherboard

At this point, any sound. Without the memory I get three beeps. With any of the 4 memory modules installed, I get nothing. The board I just got from Newegg, and to get the system to at least POST I can't imagine I need a BIOS update yet.

I am having the same exact problem with the same exact motherboard and memory. both brand new. Machine won't post at all with parts in, no beep codes with memory installed, 3 beep code with memory removed. Could be my processor cause it is new as well AMD Phenom II X4 Deneb 3.4ghz processor, the rest is stuff I trust or have been able to test, known good 500w PS, and fairly certain good graphics 560ti card (get no beep code with it outside of machine and ram in either and it should be good as it was right before adding these new parts) Bump!
