Here is my wishlist at the store where i buy computer parts (i live in australia by the way):

ASRock H61M-HVS-B3 Motherboard ($52) http://www.pccasegear.com/index.php?main_page=product_info&products_id=18337

G.Skill Ripjaws X F3-10666CL9D-8GBXL (2x4GB) DDR3 ($55) http://www.pccasegear.com/index.php?main_page=product_info&products_id=16509

Intel Core i5 2320 ($195) http://www.pccasegear.com/index.php?main_page=product_info&products_id=18947

If anyone has a better idea for a cheap build from the same website please reply, all i need is a mobo, some ddr3 ram (at least 4GB, would prefer 8GB), and a quad core cpu.

Im aiming to keep it under $350, this build will be replaceing my E8500, G31 mobo and 4GB DDR2 ram.

Im aiming for something that i can use for gaming since i have a gtx 460, but i also do some video encoding for my youtube videos.

Your wishlist link doesn't work :(

An AMD build might suit your needs quite nicely.

The FX-4100 paired with a cheap AM3+ mobo, and a mid-range GPU actually performs really well. It's only when you go into higher end graphics card the Intel system builds start to show an advantage. Then obviously just grab 2x2GB of DDR3 and your good to go. You might even want to consider throwing 2x4GB sticks in depending on the price difference.

FX-4100 - $120 http://www.pccasegear.com/index.php?main_page=product_info&products_id=18689
8GB 1600MHz - $70 http://www.pccasegear.com/index.php?main_page=product_info&products_id=17729
ASRock 880GM-LE - $65 http://www.pccasegear.com/index.php?main_page=product_info&cPath=138_1207_803&products_id=19402
or
ASRock 970 Extreme3 - $95 http://www.pccasegear.com/index.php?main_page=product_info&cPath=138_1207_803&products_id=18660

Sorry ill go fix the wishlist now.

Also would a FX 8120 be a good chip for gaming and video encoding?

FX-8120 would be decent for gaming and great for video encoding. It's a lot more expensive than the FX-4100.

Honestly if you're going to shell out that kind of money for a CPU you should go with that Intel. Unless you video encode all the time the few extra "cores" might come in handy. However in gaming performance the i5 is going to win.

ok if i get a 2500K, plus the G.Skill Ripjaws and the ASRock H61M-HVS-B3, that totals to $336, should i spend a little bit more on the mobo or the RAM?

Is their really a difference between the 2320 and the 2500K if i dont OC?

If you can afford it an i5-2500k is certainly the way to go. No reason not to over-clock? Most motherboards have the option to do it for you automatically :)

Ignore my FX-4100 post earlier - that's a much more budget oriented build, stick with Intel where you can afford it :)
