Looks like the first one is factory overclocked (nothing you can't do yourself) and the second one has a slightly larger fan, so it will probably cool better and run a bit quieter.

I would go with the first one since it comes with a factory overclock and that's something you don't have to do and even though the fan is a bit smaller , the Evga Precision Software that comes with the card will be able to control the fan and keep the card cool automaticly. It's also $20 cheaper than the second card.
