Upgrading my System

I am looking to upgrade my office desktop system due to very slow operating performance. I don't plan to use it for gaming but I often run several applications at once. I currently have a homebuilt with the following components:

Mobo: Gigabyte P35-DS3L
CPU: 2.8 gHz Pent D
RAM: Corsair 4GB DDR2 PC2-6400 (800MHz)
Storage: Western Digital Caviar SE WD2000JS 200GB 7200 RPM 8MB Cache SATA 3.0Gb/s
Optical Drive: LiteOn iHAS524
Graphics: SAPPHIRE 100255HDMI Radeon HD 4670
Display: ASUS VW246H

I am replacing the Hard drive with a Seagate Barracuda 7200 1TB ST1000DM003. I have chosen an Intel Core i3-2120 for a replacement CPU. Now I need to find a compatible mobo while having to replace as few other components as necessary. Budget is an issue so I'd like to keep costs at a minimum.

As I said in my post, I want to limit the number of components I need to upgrade. I want to be able to increase performance without breaking the bank. I plan on keeping the graphics card, the optical drive, and the case. I already purchased the Seagate HD. I know I will need to upgrade RAM to DDR3 and although I don't detect any problems with my current power supply, I've heard a new one is highly recommended. Can I get by with just a new mobo, CPU, RAM and PS? If so, any recommendations?

Oldie made excellent suggestions. But I'm still making sure I don't have something in my eye because I think he just linked a 240GB Agility for $130.....Lemme get the wallet out..

I do not recommend a Biostar motherboard though. My experience with them has been truly awful. I've only owned three but all of them had to be replaced within months. Then the replacements sent from Biostar also failed. Not a high quality motherboard. Try something like this:
