I will use the pc for gaming and reg computing, such as web searching. My budget is around $1200 with monitor. Hows it look? THANKS

Weak on the video card, especially considering your budget. I would look for something like a 7850 or a 7870, or a GTX 570. Possibly even going heavier to include GTX 670s or 7970s.

If you want to overclock, you need an Intel CPU with a "K" at the end of the model number. You cannot overclock a non-K CPU. (well technically you can, but its a very bad/stupid idea to do so) The most viable choices are either the 2500K or 3570K. Otherwise, on a non overclockable build, forget about the CoolerMaster 212 evo.
