Ok, so my computer at the moment is a triple core 8400 2.10ghz and im upgrading to an FX 4100, this is a worth while upgrade? and i know people will say get a 955BE cause the motherboard is AMD2+ but this computer is going to my brother the spec differences are

MY Specs Atm:
AMD Triple Core 8400 2.10ghz
4GB DDR2 667Mhz
AMD HD 5450

New Specs:
FX 4100 4.0Ghz
8GB DDR3 1333Mhz
XFX HD 6870

im going to see a major difference in performance with this new build of mine? baring in mind im buying a computer built with the FX 4100 and adding my HD 6870 that i've got held on the side because my triple core 8400 bottlenecking my HD 6870 and im tight budgeted to £250 so the FX 4100 is the best i can get, rekon this is a worthwhile upgrade for moderate gaming (like WOW max settings on 1280x1024 (My Max Resolution 17" Monitor))??

You will need to purchase a new motherboard to use the Bulldozer/Piledriver series.

You can't drop in an AMD3+ processor with DDR3 RAM into a AMD2 motherboard with DDR2 support, neither the processor nor RAM will work.

Without purchasing a new motherboard, the best processor you can upgrade to I believe is the Phenom II X4 940 Black Edition.

It is discontinued however, so finding it in stock will be a chore. If you can find one for cheap you can overclock it as well.

Your best option however, is to purchase a new motherboard that DOES have an AM3+ socket, so you can purchase the much superior, and cheaper DDR3 RAM. And have current generation processors too.

I have the exact same processor with a BFG Geforce GTS250 and 4GB's of DDR2 800Mhz RAM (2x2gb)in a MSI MS-7309 mobo and can play most games pretty well at that resolution(1280x1024) at high settings (C.O.D.Black Ops, Battlefield-Bad Company2, etc.), so I can only imagine that with your new comp build it should play WOW at max settings great. I would though consider upping the RAM to, at least, 8GB's of 1600Mhz speed and what power supply do you have to run your new system?
