It's a good card at a great price.

That CPU will be fine for you. Sandy Bridge is great.

The OC edition just means it comes at a higher stock clock from the factory, so you get a little boost out of the box. You could pretty easily OC higher though. The cooler on that dirt3 card is very good. Cool and quiet.

One question though. What power supply do you have?

500W should be just fine. Corsair is a good brand too.

A good PSU can last a long time, so if you are thinking you might need more power in the next few years, you may consider buying more PSU than you need right now. A nice PSU can last 5 years or more, and if you think you may want to do crossfire, or something else that requires more power, you might want a stronger PSU now.

Just something to consider. The one you have picked out will work fine for your currently planned setup.
