The cooler is the only difference. The Core Clock is at 850MHz on both cards so there should not be much of a performance difference if any.

However I would recommend this card instead as it has a non-reference cooler and should have much better thermals and is very quiet.

To answer your other question....No, your AMD CPU will not be a factor. There is really no advantage to having an AMD CPU and GPU. There are zero compatibility issues.

Just an older stock and newer stock difference on those two cards I believe. One is on offer, the other is not.

If you are considering the 190$ card , I would recommend this instead. Sapphire 6950. It's on a good deal at Newegg for 190$ after rebate and comes with coupons for BF3 and Dirt 3 as well. -

But there is no difference if you use a NVIDIA or AMD card irrespective of your CPU. There is no compatibility issues as such.
