want to upgrade my HP pavillion dv 2401 tu laptop, both for RAM and processor. Pl help.

You don't upgrade laptop cpu's.

If you need memory, go to Crucial.com and use the memory finder tool.

The cpu is too old..you will NOT be able to upgrade it...

You may be able to increase the ram....

Increase RAM, maybe. But very little possibility of seeing much improvement otherwise. See the above tutorial on increasing system resources.
