New cpu and it doesn't work

Hello, I recently bought CPU as an upgrade to my current one, and after installing new one into my mother board I've got only black screen. m3a32-mvp deluxe that's my mother board and new CPU is AMD Phenom II X4 965 BE 3.4GHz AM3, which should be compatible with this motherboard if it has updated bios which my have.

My question is what am I doing wrong is it mother board issue or there's something else.

which card are you using for outputting VGA? and which processor did you have earlier?

Right ok with you.
The first check, do you get one short beep from the motherboard, if so all checks out ok.
Anything else in beeping messages relates to a problem that can be diagnosed by looking up the bios beep error codes of the bios chip of the motherboard.
If you are not getting any sort of boot screen or post then. It can relate to a few things.
The bios may still need another bios update to run the cpu. The board only supports a cpu of a maximum wattage type so check the wattage the cpu needs to run and if the board supports the chip. Also the board information mentions nothing about Am3 supported chips just Am2 cpus. Simply it does not support an Am3 chip, and likely the pin layout of the chip for the am3 chip is not the same as the am2 cpu socket. Rma time.

Do you run DDR2 or DDR3 ram?? My guess is that your board has DDR2 ram, and likely does not support DDR3 ram which AM3 CPU's require. You are likely going to need a new motherbaord and DDR3 ram to run that CPU. I could be wrong, but I bet that is the issue. Fortunately you can get a cheap Motherboard and DDR3 memory fairly cheaply these days.

Edit:
After doing some reading up on your MB, it appears yours does not support x4 processors, so what I said above stands. Sorry to have to tell you that.

This board does support your CPU do you have the 140 watt or the 125 watt you need to have bios v 1901 at least I'm running 5002 on mine, these are basically the same boards and there finicky(check my specs) update to the very latest bios if you already have that, unplug all but one stick of your ram and try again, let me know also like the other poster said are you getting any beeps during post,

Oh yea did you unplug the power cord press the power button clear the CMOS, w/jumper and remove the battery for a min or two (in that order)

AM3 cpu's support both DDR2 and DDR3 (one of the great things about phenom IMC'c) and are backward compatible with AM2/AM2+ boards like the one OP has

mobo doesn't give any beeps,
my previous cpu is

I didnt unplug anything just changed processor, and after that i just run my build and got nothing but black screen without any beeps whatsoever

how bout revisiting the heat sink install and checking if that's done right, also there's a chance that the mobo is shorting. It could be a misaligned standoff (unlikely since it was just a processor swap but worth a look) or maybe the processor pins are not not making the right contact.

i say you take the processor out and reinstall with the proper pea sized thermal compound on the heatsink after duly cleaning out the old one. is the 4 pin connector properly seated?

I meant for you to do all that stuff now , unplup ,and reset the cmos then try and start up, take all but one stick of mem out, try and start that way
