Graphics Card and RAM Updates?

Hey Guys Im not very big into computers, I just have a couple of questions to ask ( I am just now getting into PC gaming and would like to upgrade my other computer which does run League of Legends and other games on low settings)

1. I want to upgrade my 2nd computer (an emachines t3612) graphics card and Im on a budget ($50-100).
2. I have a windows 7 64 bit disc would it be worth it installing that ontop of the Intel Celeron D Processor? (Yes the processor is supports 64 bit)
3. If I do run the 64 bit would it be worth my time buying 8 GB total of ddr2 ram since i only have two slots?

Find a cheap GTX 550 Ti and get any nice DDR2 RAM. Upgrade to about 8GB. That's enough :)

It is worth upgrading to Windows 7 definitely.

As for the card, I'd recommend HD 7750.
