Athlon II 620(OC) to Phenom II 965 - Is this gonna be noticeable?

Hello. I'm looking too see if anyone could tell me how noticeable these 2 hardware configurations would be.

Currently I am running:
M3N78-VM
AMD Athlon II X4 620 (Overclocked to 3.2GHz!)
DDR2 667 4GB Total (1- 2GB Stick, 2-1GB Sticks. Same clock speed)
Zotac GeForce 560 1GB
120GB SSD For Windows/Games

I am looking at getting:
ASUS M5A97 R2.0 AM3+ AMD 970
G.SKILL Ripjaws X Series 4GB (2 x 2GB) 240-Pin DDR3 SDRAM DDR3 1333 (PC3 10666)
AMD Phenom II X4 965 Black Edition Deneb 3.4GHz Socket AM3

Keeping the Geforce 560.

It's a cheap setup, I'm not looking to spend much. But if I could get some advice on how noticeable the performance boost would be that would be great.

You're spending way too much for the performance improvement that you would see. The only thing you have there that makes a noticeable difference is the CPU. If you are going to upgrade the mobo and RAM then you should go for Intel CPU and mobo for better performance.
