upgraded from 98se to xp, had an old version of direct cd for my cdrw
drive. i don't use direct cd anymore but the driver still loads at
startup, it says 'windows did not start this device driver because it
can cause your computer to become unstable.' i went into 'device
manager', opened properties for the cdrw and under 'driver file
details' the driver is listed. but there's no way to remove it. any
ideas?

This kind of drivers can not be uninstalled via device manager.
You need to follow directions how to remove disk filter drives, on Roxio site or
other self help sites, or call a specialist.
