Will I be able to overclock this build?

I want to overclock my AMD Phenom II X4 965 BE from 3.6ghz to 4.0ghz, will I be able to do that with this power supply and motherboard? Because a friend of mine online told me that the overclocking will overheat the transistor and kill the motherboard.
 
The PSU and mobo are sufficient. Overclocking is highly variable, on a per-CPU basis; some do well, some don't. I'm not sure I've heard of anyone not getting 3.6GHz with a 965BE, but 4.0 may not be a certainty (although as high as 4.4 may be possible). In any case, neither the mobo nor PSU will hold you back.
If you haven't already bought it, if you're interested in reducing noise, Frostytech.com found that a Xigmatek Gaia will run around 6db quieter than the Crappermaster Hyper 212+ (and be cooler), and cool within a degree of the Hyper 212 EVO (and be quieter).

Thank you for the reply. Yes I do have these things already, and I'm fine with the noise. Thank you for recommending though, I'll keep that in mind if I need to replace it. :)
