Cpu/mobo and memory advice

Greetings all. I'm looking to upgrade my ancient PC. I have limited funds, about 200-300$. I'm from Northern California and this machine will be primarily used for gaming, such as Skyrim and surfing. A video Card will be in the near future, i have a weak PCIE x16 card already, as well as PSU and DVD drive. I have dabbled with overclocking, and i probably will when i can afford a new fan/cooling system in the future. Graphics aren't a huge deal, lag free and decent is all i really care about. X-fire isn't something i"m really interested in. MY monitor runs 1024x768. I have WIN 7x64 and I'm thinking I may wait until after thanksgiving, even though a few of these items are already on sale.

This is what I've come up with. Im hoping someone can tell me if i might of missed any compatibility issues, or perhaps just more bang for the buck.

It's OK, but make sure the PSU is not too old and it has effecient power supply to fit in these specs. Well, for the lag free, graphics is the problem. Maybe you can save the money from getting a mATX board to buy a new graphic card?
