HELLO,I have an Intel Pentium 4 2.8GZ processor,3GB ram,windows 7 ultimate 32 bit operating system.Which should I buy???

We need to know your motherboard, to know if it has a PCIe slot on it.
We need to know your PSU (brand and model, not just wattage) so we don't recommend a card that exceeds its capacity and will kill it, or so we include an appropriate PSU upgrade in our advice.
We need to know your budget, so we don't suggest spending more than you can afford.
We need to know your uses of this PC, specifically the [types of] games you want to play.
We need to know your monitor's resolution.
It might help to know where you are, to know where you can shop for parts.

RESOLUTION:1366*768

I have daelt with a graphic card before Nvidia GEForce 8400GS but it my cpu turn off suddenly.

you got very old cpu. even some entry level cards will be bottleneck by your cpu. haven't you considered about making entirely new system which will fare better in games especially for more recent ones?

I have daelt with a graphic card before Nvidia GEForce 8400GS but it my cpu turn off suddenly.

maybe caused by overheat cpu or gpu.

You have not provided the information we need about your PSU or motherboard.
American Megatrends is the BIOS used on the motherboard. Is there a PCIe slot on it?
"Most likely," assuming there is such a slot (modern motherboards have at least one), and that your PSU is reasonable quality and at least 300W, a HD7750 would be a good choice for you at your current resolution. If you are using integrated video now (e.g. Intel GMA3000, GMA3100, or GMA4500), even a HD6450 would be a major improvement. HD7750 > HD6670 (GDDR5) > HD6670 (DDR3) > HD6570 > HD6450.

The GT440 will be comparable to a HD6670 (DDR3); perhaps a little better or a little worse depending on the game. I believe a GT640 will be generally a little better than that. NVidia has no good competition for the HD7750 though; not for the price, and not that does not require an auxiliary power connection.

Hey I found out about my PSU here are the details:
Brand: bestec
model: ATX-300-12Z
rev-BH
input: 100-127~7A,200-240V~4A
60/50HZ
output-h2v--/9A -12V/0.8A +5V/300A,+5VSB/2A,+3.3V/28A +5V and 3.3V 180w max
+5V and +15w-3 288W max
300w max/ :??:

Your currency tells me you won't be able to buy from Newegg, and prices where you are will be different anyway.
Without knowing what is available, the following quick and dirty rule of thumb should generally prevent you from buying junk: A quality modern PSU has some level of 80+ certification. It's not the efficiency, it's that it was tested at 100% load. Even though they use an unrealistic 23C, cheap junk dies under a test even as simple as that. Seasonic, Antec, XFX, Corsair, FSP, and Enermax/LEPA are among the better brands.
Expect to spend an equivalent of $40-$50 on something reasonable.

Although that's a low-power card, to be safe I think you'd want at least 16A on +12V. A 300W Seasonic has 24A there; the 380W Antec Earthwatts has 28A on that rail, and the 430W Corsair Builder has 32A. You can find cheap PSU-shaped objects (don't buy one of these!) that claim to provide up to 585W, yet only offer 15A on +12V.

HELLO, GET NEW PC. THAT THING IS PIECE OF DOG ***

Please do not troll. While the OP has an old PC, his budget does not allow for a complete rebuild. High to max settings aren't the issue here; a modest GPU such as he is considering will allow him to continue enjoying his games.

Either of those PSUs would be good. The 430W one is likely from the "Builder" series, which the forums have been recommending for a while now. I'm not sure about the other. Assuming both of them have the 80+ certification, in this case it would be safe to buy whichever one is the least expensive.
If your budget has increased, that PSU could handle a HD7770, HD6850, HD7850, GTX650, or GTX650Ti. Your current CPU would hold any of those back, but they'd be good to re-use later if/when you do eventually build a new PC.
