Rate this build - upgrading from Windows XP to Windows 7

I'm upgrading my computer from a 2008 build. I'm not trying to make it top of the range, just so it can run Windows 7 64 bit and modern games smoothly. I am aware that the graphics card is outdated but I can change that afterwards easily if it proves to be too much of a slow down. It's the motherboard and CPU I'm most concerned about.

Optical Drive: Samsung Super WriteMaster SH-S203
Graphics Card: ATI Radeon HD 3850
Case: ThermalTake LANBox (only takes micro-ATX)
PSU: Corsair HX520 520W
Monitor: Samsung SyncMaster
