Low power home theater

I'm trying to put together a high power (CPU) and a low power (Watts) home theater system. The case I bought only has a 200 Watt power supply, so I do have a limit. The mother board I want to use is the Chaintech 7SID, which is the only MATX DDR MB I could find. For a CPU I'd like to use an under clocked Athlon XP 1500+. (100MHz FSB) I planned on running XP, so I was going to put in 256MB of RAM. For a video card, I was thinking of one of the 7500 AIW. Sound, I'd like one of the new Sound Blasters, with Digital out. Will this float, or am I going to get smoke???

Any other suggestions?

Anyway to lower noise?

I will get a Duron and not Athlon as they are running much cooler, and use a passive Fan like the Zalman Gold, maybe even without the fan on it, depend on the final temp.
I will still use a bigger PSU, but probably a Enermax wisper using only one of the fans.

For a Display card I will use a Matrox, as they require much less power, run much cooler with only passive HS require and no fan. They also have the best TV out and DVD Max option.

For TV out YES. They are also very good in power consumption.
They are bad in every thing concernes 3D.

Oops, forgot to say that the case is a Yeong Yang YY-A101 case, the only case I've found that will fit in a standard audio rack. It uses a SFX size power supply, and I haven't found a bigger P/S in this form factor. Any hints there?

Also, I'd like to use a 120G 7200 RPM drive in it, but if I have to, I'll move it out into a Firewire external case, and power that from a wall wort.

Oops, 200W PSU for this rig is maybe a little constrained :)
