SM56 freezing computer

I have a old computer (AMD K6 266MHz, 32MB, HD 4GB, mptherboard TX-PROII) with a new modem based on chip SM56 Motorola.
I reinstalled Windows 98SE in the machine e there´s no hardware conflict (IRQ, I/O, DMA).
Everytime I turn on the machine it freezes during the boot (some seconds after autoexec.bat processing).
So I press reset button, and the machine goes to Safe Mode. Then I restart the computer and everything goes OK.
I know the problem is related with the modem card (if I remove that card there is no problem).
Any suggestions?

I´ve already tried to change the slots with no success.
