how are you shutting it down? assuming your running windows, do you press the power button, in windows click on the start/shutdown icon, press alt+F4 then enter? if in windows make sure your power button is not set to restart... pressing alt+F4 make sure that's not set to restart...

another thought... you can just try unplugging it from wall, taking out the battery and hold the power button for 15-30sec. but the battery back in power up and try shutting it down again.

when not in use remove the battery and have peace on mind. :D  ....never mind just joking. :sol:

Check if "Wake up on LAN" is enabled in BIOS and disable it. (Or you can check your network adapters' properties, and look for wake optons.)

Let me take a crack at it...

You didnt mention what time it "wakes up" to me it sounds like Windows Update is turning on at 2-3AM and running it's update. You could try disabling windows update, or set it so it doesn't update early in the morning.
