"Tewksbury, MA - August 13, 2004 - Avid Technology, Inc. (NASDAQ: AVID)
today announced that it has entered into a definitive agreement to acquire
Midiman, Inc., doing business as M-Audio - a leading provider of digital
audio and MIDI solutions for electronic musicians and audio professionals.
At closing, Avid will pay approximately $80 million in cash, issue
approximately 2 million shares of Avid common stock, and assume all
outstanding M-Audio stock options. The deal also includes earn-out
provisions, which would be payable to M-Audio's equity holders based on the
successful achievement of certain financial milestones. Under the terms of
the agreement, M-Audio will become a business unit of Avid's Digidesign
audio division and market its line of computer audio peripherals, PCI sound
cards, keyboard controllers and control surfaces, microphones, speakers, and
distributed software and proprietary sound libraries alongside Digidesign's
award-winning digital audio workstations for the professional and
home/hobbyist markets.

Why do you suppose they did this? Is it merely to get rid of some of the
competition for their entry level Digidesign products? I can understand
Apple's purchasing Logic in order to have access to a technology they have no
prior experience with. I don't know retail sales from jack, though. Is it a
dealer network they're trying to buy? Any guesses?

Maybe they're buying the cow. I'm not sure why I think this but I
thought that Midiman makes the rack mount low end ProTools hardware.

Digidesign is a software company. Avid got them Focusrite to get some
hardware experience. Maybe Midiman is giving them the same sort of
expertise but on the other (and probably in the grand scheme of things
more profitable) end of the range.

Like the Digi-001? Midiman doesn't make that for Avid. I'm limited by NDA,
but I can say that it's not anyone in the music industry.

First off, we need to consider this in the context of Avid the parent
company, not Digidesign, the new sibling.

Is there much competition between Digidesign and M-Audio products? I don't
see it.

I think that in fact there is pretty good synergy between M-Audio and
Digidesign's product lines.

Didn't someone say that M-Audio subcontracted production of some products
for Digidesign?

Check the term limits of your NDA. The Dig-001 hasn't been made for quite some
time now. I think he's talking about the 002 rack. If Midiman is indeed
manufacturing the entry level digi stuff already, the purchase arrangement
makes more sense to me.

I thought that might be the case, but someone sealed under a NDA said
it wasn't, and that what I thought Midiman made was made by someone
we've never heard of (at least in the audio industry).

You can ignore the fact but Digi products have *always* been been
integrated hardware/software products. Soundtools, Protools,
Samplecell, etc.

You've probably never held a Digi HD core or Process or Accel card in
your hand. It's gorgeous!

Not even Apple manufactures their own boxes these days. Ya, designing
and delivering excellent, reliable hardware - there's nothing to it.
Tell that to the folks that bought that Mackie digital console.

Tell the truth, its possible that not even Midiman makes their own hardware
at some level. Sheet metal, board etching, and board stuffing are commonly
farmed out to subcontractors.

I think you're being sarcastic here, but I don't understand either the
sarcasm or the reason for it. Could this be "condescending?" Are you
suggesting that Digidesign has a PC shop and assembly line as well as
a bunch of programmers? Do you know this? And are you taking a dig at
me because I worked as a contractor to Mackie three years ago? What do
they have to do with Digidesign other than that many people use the
low end ProTools systems with the Mackie d8b?

My first thought from a retail perspective is that this is unfortunate.
If anything, there will be fewer dealers. Midiman / MAudio was a very
cool company to deal with.
