I had the same exact problem with my Giga-byte mobo and struggled with the damn board for 2 days. After returning the board, I figured out the problem was with the RDRAM. I was using OCZ rambus and it was not compliant with my Gigabyte board. I sent the memory back and bought Kingston PC1066 - it works like a charm.

There was at one time a lot of junk PC1066 floating around. Much of it was OCZ, but much more was Samsung PC800-40 remarked as PC1066 by dishonest venders. Also, Kingston had a bad batch of PC1066 256MB modules that were completely recalled.
