Im upgrading my system with an XP 2700+ Vantec HSF 9700 PRO 1 GIG DDR 3200. And have 1 HDD 3 optical drives a floppy, Soltek Nforce 2 and Audigy sound card plus a couple case fans. I want to upgrade my generic 300w psu as well and want a good 1 but don't want to throw money away either. Also plan on some overclocking to get FSB TO RUN AT 200mhz in sync with my Ram if possible. Will an Enermax EG365P-VE FCA 350W be sufficient 5V=32A,12V=26A,3.3V=32A or do I really need to go with the Enermax EG465P-VE FCA 460w 5V=35A,12V=33A,3.3=35A ??

350W should be sufficient, but leave no room for future expansion. It would be wise to get the 460W one especially if the price difference is not big.

The 350W Enermax will do fine for your current system... but if you plan to add a lot more hardware in the future then a 460W might be a better choice (unless the price difference is huge).

My CPU fan spins so fast that it creates a wormhole

I would set my sites at 400W as a minimum P/S to settle on, and make your decisions price and quality wise from there.
