Windows 7

Hey guys,

I recently bought a Windows 7 Ultimate 64bit kit from a friend that wasn't using it. However, the DVD that he had was badly scratched up. He gave me a DVD from a dell upgrade kit that he got(also 64bit Ultimate) and so I was wondering, if I have the retail cd key, can I use it in the same way as an upgrade cd key?

I don't know for sure about W7 but I do remember back with 95/98 and ME you just needed a legit key but any old disc would do.
