Question on WinXP Upgrade vs New Install

I'm one of those having the blue screen of death from XP during installation "IRQL_NOT_LESS_OR_EQUAL". I have a new system I built myself (specs below), and am using the "upgrade" version of Home XP. I'm assuming my issue is one of the hardware configuration. Does anyone know if these XP install issues are more common to the "upgrade" edition? I've tried to install XP onto C:, or D: with Win98 installed onto C:, or to upgrade Win98 on C: (all the same HD).
P4 1.80A (512K cache)
ABit BD-7II
512 PC-2100 DDR
GeForce 3 Ti200

HI, are you using two 256MB of Ram or one 512 ?
if you are using two 256 try taking one out and try XP again with only 256MB of Ram. Some MB don't like two Dims of cheaper Ram, Never buy Cheap Ram...
