- this statement is a good indication that you have a failed upgrade,

(i.e., you had antivirus installed before windows XP upgrade attempt, "the
antivirus did it's job and prevented the Operating system from being
changed", or you had another program that interfered with the windows upgrade
attempt "firewalls, popupstoppers, ISP software, download accelerators, etc.)

Try clicking on Internet Explorer when you're OFFline. It should bring
up the Dial-up Connection. Then you can get online with it!
