Just to add to Bruce's post - if you buy an upgrade version you will
need to either have the older version (from which you are upgrading)
installed on the machine or its installation cd-rom. This is something
to bear in mind if you ever need to clean install Windows and therefore
reinstall your Office program. Don't lose your original qualifying
version cd-rom.

There's no difference in functionality or features, *except* during the
setup program - the upgrade lacks the function to install without a
qualifying version present (installed) or available (a CD to pop into the
drive as a proof-of-purchase).
Once installed, they are identical.

the price for one thing
the fact you obviously need a previous version of office, or a qualifying
product for the upgrade (e.g. various versions of MS Works/Works Suite,
among others).
Otherwise it is a full version.
