Well,
I got a Sony VGN-FE21B with a 80gb HD in it. But the latest months the hard disk is dying..
So I'm considering of buying me a new 2.5 inch hard disk.

My question is: Will I have problems installing the OEM (with the recovery disk(s)) on the new hard drive?
Will I have problems with the registration of my original cd-key?
It has Windows XP Media center edition pre-installed.

You shouldn't run into trouble. You may have to call a computer at Microsoft to activate Windows, but it's not a big deal.

you first need an OEM windows media edition 2005 (not pro and not home)
got that? cool
hook up the new drive
run the cd, type the serial number (located under the laptop on the COA)
activate online, or by phone (automated service)
