Problem with my compaq, help me

I have a compaq also, it also powered itself down. When i boot the fun turns and for some seconds all you hear is the memory sound beeping, and the num lock light also blinks.I taught it was a memory problem so i replaced the memory but its still not working.When u put the memory in another machine it works. specs 2.6 ghs 256m 40g
