I have an older Dell P3 with a 933mhz CPU. I have a buddy that wants to sell his 1.26 P3 CPU. Can my CPU be upgraded? I know that the both should use the Socket378 configuration. Would this merely be "Out with the old, in with the New" situation?

While it's unlikely that your motherboard support Tualatin core CPU's, it is possible. It depends on what they were using at the time. Dell DID produce some Tualatin based systems. The easiest way to find out is to swap chips! If it doesn't work, no harm done, and you can always get an Upgradeware adapter for $30.

An upgradeware adapter? Can you tell me more about this adapter? So, assuming that my Dell mobo does not support Tualatin cores, then this adapter will allow compatability? Any downsides? Thanks for the response.

Try taking a look at the Dell forums. There's quite a bit of info there about upgrades and what will handle what. I have found some good info there in the past.
