Your beep code explanation doesn't make sense. But if you are seeing the video card then it stops the culprit could be your ram. Maybe you can relisten to your beeps and then go into google and search for BIOS BEEP CODES. It will give you the info you need.

I'm not familiar with either processor (I went straight from P3 to Athlon) But did you have to increase your FSB to support the duron? if so then maybe its too much for the ram.
