If I'm not interested in overclocking which is better and why?

No, but there is a 3400+ (same specs, just no dual channel) for S754.

3500's performance is higher than 3400's, if that's what you mean by better.
Will the socket 939 version be more upgradable in the future?
Yes, S754 won't have a processor faster than the 3700+ while S939 already has the 4000+ and the FX-55. Not only that, but there's is also a chance for dual core processors making their way to S939 while S754 has about a 1% likelihood.
