Bad CPU or incompatible?

I have an Intel D845PESV, works fine with 2.3 celeron. The compatibility guide on the website lists a 2.8 533fsb 512k l2 cache chip.

http://developer.intel.com/design/motherbd/sv/sv_proc.htm

Somehow I missed the cache because I ordered a 2.8a 533fsb 1m l2 cache.

When the new chip is installed the motherboard does not even get to BIOS. Does having too much cache availiable cause a hardware incompatability?

1) is the bios flashed to the lastest level?
2) did u try resetting the CMOS ?
3) Any other jumper you have to do on an intel board?

There's no such thing as "too much cache". There is such a thing as "too much power", as in the Prescotts draw around 30% more power than the CPU's your board was designed to support.
