Hello Stupid! OEM means original equipement manufacture, which means that it is meant to be sold to a sytem builder. With processors, it means that the company purchasing it originally, the distributor in this case, gets a very limmited warranty, and the "end user", you, gets whatever the distributer offers. RETAIL is the other way to pruchase things, meaning they come in a display box. With CPU's this also means they come with a manufacturer approved heatsink and three-year factory warrentee. The only places I know of where the actual part differs is in Video cards, which may come with fewer features, less software, or slowery memory, and soundcards, which may come with fewer features and less software.
