OEM ramifications

What is the difference between an OEM cpu and a non-OEM cpu? I was about to purchase a new AMD 1.4 GHz proc. on-line when i noticed that the OEM version was selling for about $40.00 less than the non-OEM... What gives? I thought non-OEM proc.s were supposed to be cheaper. What actual differences can I expect between the two chips? Is the non-OEM worth the extra cash?

OEM: no fancy box, HSF, or warranty from AMD. Handled by whoever's selling it, but you don't know exactly how it's been handled.
Retail (non-OEM): nice fancy box, HSF included, warranty is from AMD.

Is it worth it??

Depends if you want/need the 3-year warranty. Other than that, get the OEM.
