Difference in "upgrade" and "full edition" for XP

I'm a bit puzzled here. I'm building a new computer and plan to install xp on it, but I want to do a clean install, I don't want to install over a copy of my old Win Me.
Will the upgrade version do the job? Full installation & format a new hard drive?

Yes the upgrade disk will do the job. All you need is to show prior to the install that you have another MS OS (ie.98, ME, NT, etc.). Look <A HREF="http://www.microsoft.com/windowsxp/pro/howtobuy/upgrading/matrix.asp" target="_new">here</A> for list of OSes allowed. Note Home and Pro. Also note at the top that it says it will keep all your settings (upgrade), even though you can do a full clean install.
