underclocking & warranty?

I have a Hercules prophet 4000xt pci it is so much louder than the Voodoo 5 (i'm guessing not far of the Geforce FX) I have but plays more games. Just wondering if I underclock it will it reduce fan activity without to much of a performance drop.
The only thing is when click on the button to enable "overclocking" it gives a message about voiding the warranty. If i'm underclocking is this much of a concern?
