Retail is the normal price you pay for items and things that pretty much anybody can buy, OEM is original equipment manufacturer and you generally get them when you buy a new pc or similer, eg, MS Office 2000 professional is $1300 to buy retail, but you can get an oem copy for $699, theres no box and a basic manual, but it is 1/2 the price

OEM will also sometimes be referred to as a "white box" item meaning that it comes in... you guessed it, a simple white box.
