New GPU, old motherboard, will it work?

hello, i could use some help from the bords on my pc-upgrade project.

My current system is this:

Mobo: MSI KT3 ULTRA2-R
Ram: DDR-DIMM PC2100 512MB CL2.5
Gpu: MSI AGP GeForce4 Ti4200 128MB
Cpu: AMD Athlon XP2000+

i have planned to upgrade to the following:

Mobo: MSI K8T NEO-FSR
Ram: Crucial PC3200 DDR-DIMM 512MB (two sticks)
Gpu: GeForce 6800 128MB
Cpu: AMD Athlon 64 3000+
Psu: Q-Tec ATX 450W Dual Fan

Now here is my question, im buying the geforce 6800 and the new powersupply first, and then the rest of the stuff a month later. will i have any problems fitting the new gpu and psu to my existing old rig???

You should be fine as long as your agp slot is 8x. Although that card may work in a 4x slot. I'm not quite sure.
