Overclock FX5600 = Worse Performance???

Just bought a new celeron D 2.4ghz for my 2nd computer (made up from old parts) including my old Nvidia GeForce FX5600 (standard, by leadtek, masive cooler + rear ram sink/plate) and after running 3DMark2001 as a test i started overclocking everything a little - pushed the CPU to 3000/666 (locked AGP/PCI, bumped up the VCore a little, havnt finished yet) and i started overclocking the video card (325/550 -> 350/600 - the ram is rated at 600mhz anyhow) and i noticed the first 3DMark2001 test with the car droped the frame rate from 100+ FPS to a pathetic ~30fps, at first i thought it was the cpu throttling (replaced the stock thermal goo and polished the base) and still - ~30fps and the CPU temp still wasnt too hot, i went back to overclock the video card and returned the speeds to default (325/550) and the frame rates returned back to 100+ for 3DMark2001 - i discovered every time i overclocked the card's memory it would limit the FPS to around 30fps for everything - WHY???

Celeron 2.4D @ 3000/667
512mb Kingmax TBGA DDR400
ASUS P4P800s (i848pe)
Leadtek FX5600
Onboard Sound/Lan
WD 40gb 7200rpm

a lot of weird things happen when you overclock gfx cards way too much. for example, i OCed my mx100/200(which is uber crap) to its limits and get about 2028 on 3dmark01, if i go any higher, it still runs okay-ish, but it over heats. and when i try to bench again, the framrates drop down to 1 and freezes. go from stock settings and up it with 5 mhz steppings and run 3dmark everytime to check for stability

This is the wierd part - when that card was in my main computer a few months ago with the older drivers i clocked the card up to the same speeds of 350/600 and it worked fine permanently cause afterall - its not much of an overclock if you think about it - ram's rated at 600 and 25mhz more on the GPU isnt much - its a standard, an underclocked ultra or similar. Still dont know why it drops to such crap fps.
