system freezes while downloading

when I am downloading of the net with IE or Mozilla my whole system will
freeze. It even happens while playing a video file from of my home network.
At times I will get a .txt doc on my desktop that starts with "An unexpected
exception has been detected in native code outside the VM.
Unexpected Signal : unknown exception code occurred at PC=0x7c81eb33
Function name=RaiseException
Library=C:\WINDOWS\system32\kernel32.dll....." i've de-fragged, cleared
history, run reg mechanic....limited start-up apps....done sys restores, use
windows updates....I'm using XP SP2..any advice?

Updated drivers from the system manufacturer?
Checked for Spyware/Adware/Malweare?
Scanned for Viruses/Trojans/Worms with software other than that already
installed?
Checked your RAM to be sure it is good?
Swapped out Network Cards (assuming that is how you connect) to be sure it
is good?
Checked for Motherboard BIOS upgrades if the NIC is onboard?
Emptied and lowered the size of your Temporary Internet Files?

Scanned for Viruses/Trojans/Worms with software other than that already
installed? no, just CA's AV

everything "passsed"
