Try a simple repair install of IE:

How to reinstall or repair Internet Explorer and Outlook Express ...:

You could just drag a shortcut to the start menu and then make sure that you
open the desktop properties, desktop tab, customize, and show IE on the
desktop...

Right click Desktop | Properties | Desktop tab |
Customize Desktop button | General tab |
Desktop icons | Select what you want on the Desktop:
? My Documents
? My Computer
? My Network Places
? Internet Explorer

[[Specifies whether these Windows items will appear as icons on your
desktop. Select the check box if you want the item to appear on your
desktop; clear the check box if you do not want the item to appear on your
desktop.]]

Or...

Start | Run | Type: desk.cpl | OK

you need to reload IE
1.you need your windows disk and your SP2 disk
2. go to control panel
3. click add/remove programs
a window appears with the list of your programs and set of botton to the left
4. click on the botton that says add/remove window components
a window appears with the list of windows components and set of boxs to the
left with check marks in them and one that dont ....the one with check marks
are the ones need to run windows.
5. make sure theres a check mark in the box next to IE and its highlighted
6 click next at bottom and follow instructions if it has any.
reason i say this cause it may just find it hiden in the system and restore
on its on.
