Required to have full windows 7 kit?

I am thinking about switching motherboards i currently got the upgrade kit of windows 7 installed on my desktop.
Im gonna switch my Motherboard from an old Asus to a asus p7p55d-e
also going to switch form a AMD phenom quad core cpu to intel i5
My question is can i use my upgrade kit instead of buying a new kit altogether

If its is oem no. If its retail, yes.

Keep in mind the upgrade requires you to have a previous qualifying version installed.
There are ways around it, I havn't tried them, have a look at Paul Thurrott's site.
