GeForce 3 Problem

I have been running a GeFroce 2 Pro and it works great. I just bought A Gainward GeForce 3 and I can't get the card to load. I have an ASUS K7M266 main board with a 1333 and 512MB ram, running windows XP or 2000. I get an error mesage that says "proplem loading device the data was invalid" I have tried three diffrent driver versions but no luck. Can anyone help me?
