Does your CPU support virtualization?

You have to download 2 things to make it work.

If the cpu is overclocked then xpmode not going to work. Set cpu back to factory 2. start windows and run xp mode. 3. close xpmode and restart pc 4. set the overclocked back 5. restart pc and start up the xpmode again.

Which edition of Windows 7 do you have? 32-bit or 64-bit?

Try VMLite XP Mode, this just been released. Once installed use the VMLite Wizard. Few mouse clicks and it’s ready to run. It doesn't require hardware virtualization and apparently is faster than Microsoft xp mode, and it works on XP, Vista, Windows 7, 2003 server, 2008. I think it’s owned by Sun Microsystem, not sure though.
