I just purchased a Intel Pentium 4 (1.8GHz) processor and Asus motherboard (P4S333VM), i am overclocking my processor to 2.4GHz, i got 384 MB of DDR 266 memory. i want to know that is it safe to over clock to this speed and if yes what precautions should i take to keep it working properly?

If you're running at the default cpu vcore, then you don't have to do anything. Your chip is one of the better ones. I had to raise my vcore to 1.6 to get it stable, but the temps are still reasonable at 40-52 celcius. As long as your system is stable and giving you no problems, I would leave it alone, and not flash the bios or load any questionable files.
