The warning is to get MS off the hook if something goes wrong when you
install SP2. In most cases the upgrade goes well but sometimes either human
error your hardware problems affect the install and Windows fails to boot to
the desktop. Read here before installing SP2 and you will likely be OK
without a full system backup

Third party backup software is the way to go if you decide to backup. Common
apps for this are Symantec Ghost or Acronis True Image.
