Need help!

My computer won't post, so here is what i've done to test to see what the problem is.
changed psu, ram, video...still wont post. i was told i that the comp will post without a hard drive so i removed the harddrive, still no post. (my other comp was able to post with no hd). so that leaves my motherboard and cpu. i took the cpu out and didn't see any traces of burns or anything but its still my #1 choice for the problem, only because after my comp reset from os installation, it never came back up, it stopped working. i touched the hsf and burned my finger, DAMN it was hot. still doesn't leave out possibility that the mobo is bad or both could even be bad.

what do you guys think? mobo, chip or both? or something else?
